Terms and Conditions

Welcome to Logistify. These Terms and Conditions govern your use of the Logistify Chrome extension, web application, and associated services (collectively, the "Service"), operated by Logistify ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Logistify is a freight load management platform that provides a Chrome browser extension enabling users to scrape, score, and act on freight load listings from third-party load boards including DAT One and Truckstop.com. The Service also includes email automation features that allow users to send templated emails to freight brokers directly from supported load boards using their connected Google Gmail account.

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for professional use in the freight transportation industry.

3. Account Registration

Access to the Service requires authentication through a valid Google account via OAuth 2.0. By connecting your Google account, you authorize Logistify to:

Read your basic Google profile information (name and email address).
Send emails on your behalf via the Gmail API using the "Send email" scope only.

You are responsible for maintaining the security of your Google account. We are not responsible for any unauthorized access resulting from your failure to secure your credentials. You must notify us immediately at chakopss@gmail.com if you suspect unauthorized use of your account.

4. Acceptable Use

You agree not to:

Use the Service to send unsolicited commercial messages (spam).
Scrape or access third-party load boards in violation of those platforms' own terms of service.
Reverse engineer, decompile, or disassemble any portion of the Service.
Use the Service for any unlawful purpose or in violation of any applicable regulation.
Share your account credentials or allow unauthorized third parties to access the Service through your account.
Attempt to circumvent any usage limits, security measures, or access controls.
Use automated scripts, bots, or non-human means to interact with the Service beyond the intended extension functionality.

      Third-party load boards: Logistify does not have a partnership or affiliation with
      DAT One, Truckstop.com, or any other load board. Compliance with those platforms' terms of service
      is solely your responsibility. We make no guarantee that the Service will remain compatible with any
      third-party platform.
    

5. Subscription and Payment

The Service is offered on a subscription basis. New users receive a 7-day free trial with full access to all features. No payment information is required during the trial period.

Following the trial, continued access requires a paid subscription at $7.00 USD per month, billed monthly. Prices are subject to change with at least 14 days' notice communicated via the email address associated with your account. Failure to maintain an active subscription will result in suspension of access to premium features.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the software code, scoring algorithms, UI design, and documentation — are the exclusive property of Logistify and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal business purposes in accordance with these Terms.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOGISTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, third parties, or the integrity of the Service. You may terminate your account at any time by disconnecting your Google account and ceasing use of the extension.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Logistify operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation or, failing that, binding arbitration.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
